Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern the use of services provided by Zolwit/VAIVID (“we,” “our,” or “us”), which include business & general consulting, software development, and SAP services, as well as any related products and offerings. By engaging with or using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Services Provided

We offer a broad range of professional services, including but not limited to:

  • Business Consulting: Providing expert advice on strategy, operations, technology integration, and process improvement.
  • Software Development, Distribution, Supply and Maintenance: Custom software solutions, cloud migration, system integration, and IT infrastructure support.
  • SAP Services: Full implementation of SAP solutions, S/4HANA migrations, ongoing support, consulting, and system integration.
  • Digital Transformation: Strategy development, cloud migration, integration, and automation solutions.

These services cater to both domestic and international clients across various industries.

3. User Responsibilities

By using our services, you agree to:

  • Provide accurate, complete information when engaging our services.
  • Comply with all relevant local, national, and international laws, including data protection and privacy regulations.
  • Not engage in any fraudulent, harmful, or illegal activity while using our services.
  • Not misuse or attempt to gain unauthorized access to any Zolwit/VAIVID systems, software, or confidential information.
4. Payment Terms

Payment for services rendered must be made according to the terms specified in individual contracts. Failure to make timely payments may result in the suspension or termination of services, and we reserve the right to charge interest on overdue payments as detailed in the contract.

5. Intellectual Property

All intellectual property, including but not limited to software, documentation, processes, designs, and proprietary techniques, developed or utilized by Zolwit/VAIVID during the delivery of services, remains the exclusive property of Zolwit/VAIVID unless otherwise stated in a specific contract.

  • Client Usage: Clients are granted a non-exclusive, non-transferable license to use deliverables or services provided, strictly for the purposes agreed upon in the contract.
  • Third-party Software: Any third-party software used or recommended during service delivery will be subject to its own terms and conditions, and Zolwit/VAIVID does not assume responsibility for these.
6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of service delivery. Neither party shall disclose such information to any third party without prior written consent unless required by law. This clause will survive the termination of the agreement between the parties.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Zolwit/VAIVID shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, business interruption, or loss of data, arising out of the use of our services.

Direct Damages: Our liability for direct damages, if any, will be limited to the amount paid by the client for the specific service giving rise to the claim, within the twelve months preceding the event that caused the damage.

8. Warranties and Disclaimers

Zolwit/VAIVID provides its services “as is,” without any warranty of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

  • We do not guarantee that our services will be uninterrupted, secure, or error-free.
  • Zolwit/VAIVID disclaims responsibility for any third-party software, data, or services that may affect the performance or reliability of our offerings.
9. Termination of Services

Either party may terminate the service agreement upon providing written notice as per the terms specified in the individual contract. Upon termination, the client will be responsible for any outstanding payments for services rendered prior to termination. We reserve the right to terminate or suspend any service at our discretion if there is a breach of these Terms, non-payment, or any illegal or unethical behavior by the client.

10. Data Protection and Privacy

We take data protection seriously and comply with all applicable laws, including GDPR for European clients and local privacy laws for other regions. Any personal data provided will be handled in accordance with our Privacy Policy. Clients are responsible for ensuring compliance with applicable data protection laws when using our services.

11. Offshore and International Clients

For our international clients, including those in the UK, Dubai, and other locations, Zolwit/VAIVID provides services in compliance with local regulations and international standards.
Offshore Disputes: While the laws of India will govern our services, for disputes arising with international clients, we may engage in arbitration through recognized arbitration bodies, such as the International Chamber of Commerce (ICC), if mutually agreed.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
International Arbitration: For offshore clients, if a dispute arises that cannot be resolved amicably, we agree to submit to arbitration under the rules of the International Chamber of Commerce (ICC) or other relevant arbitration bodies. Arbitration will take place in Hyderabad or a mutually agreed-upon location.

13. Changes to Terms

Zolwit/VAIVID reserves the right to update or revise these Terms at any time. Any changes will be effective upon posting to our website or direct notification. Continued use of our services after such changes implies acceptance of the updated Terms.
